Case study
Exited an agency into steward-ownership — not a sale
Founder & CTO · dyve · converted to steward-ownership, 2022
The challenge
Every founder eventually faces the same question: what happens to the company when you leave? The default answer is a sale — to an investor, a competitor, a holding. It pays out, but it hands the culture, the team, and the “why” to someone whose goals may not be the ones you started with. For dyve I wanted a different ending: what makes the agency what it is — its independence, its quality, its team — should be preserved, not maximized and resold. Deciding what is worth preserving, and what to build or kill, is the same judgment that AI Discovery brings to your company.
What I built
I founded dyve in 2014 (originally Zeit.io), led it as CTO, and scaled the engineering team past fifteen people — a remote boutique tech agency building MVPs for enterprises, team-extension and short-term engineering support across e-learning, legal tech, mobile apps and data platforms. When it was time to step back, I did not sell it. I converted dyve into steward-ownership (Verantwortungseigentum) and made it an official Purpose company in 2022. The principle: the company belongs to itself; decisions are made by the people who actually work in it, not by outside shareholders optimizing for return. It is implemented through a veto-share model — the shares sit with a control entity that holds a veto right, so the company can never quietly revert to being sold to the highest bidder. The Purpose Stiftung is the partner that holds it.
The result
dyve runs today as a healthy, independent business that continues without me — carried by its team, secured by a foundation, committed to what it was founded for. Up to fifty percent of the profit is shared with the team (performance-based), and at least five percent is donated to charitable causes. For me it was the cleanest possible exit: letting go without breaking what I had built. A founder weighing their own exit has more options than “sell or shut down” — steward-ownership is one, and for the right company it is by far the most rewarding. That judgment — what to build, what to preserve, what to hand on — is exactly what the AI Discovery package puts on your side of the table.
